Australia Company Registration Overview

Registering with the Australian Securities and Investments Commission (ASIC) is required to establish a company in Australia, which in turn creates a separate legal entity. Upon approval, the company is put on the Australian companies register and usually operates by the terms of the Corporations Act 2001.

Company registration is not the same as business name registration. Your company has what it is known as a legal name; you may also require a separate business name if you wish to do business under a different name.

After we see the registration, ASIC will issue an Australian Company Number (ACN) and a certificate of registration. These docs confirm the company’s legal existence, which in turn is required for banking, entering into contracts, and also for tax registrations. FinGuru helps founders register correctly and receive the documents needed to start operating.

Advantages of Registering a Company in Australia

Company registration provides the founders with a clear legal framework in which to organize the ownership and plan their growth in the future.

Separate Legal Identity

The company is a separate legal entity which may own assets, enter into contracts and function independently of the directors and shareholders.

Limited Liability

Shareholders in most cases are only responsible for what they haven’t paid in on their shares, which in turn protects personal assets from business debts.

Improved Commercial Credibility

A registered company may earn greater trust from clients, suppliers, banks, investors and also from potential business partners.

Structured Share Ownership

Shares make ownership easier to define, document and adjust as new founders or investors join the business.

Business Continuity

The company is a constant through changes in directors and shareholders, which in turn supports our long-term planning and stability.

Ready for Expansion

A Pty Ltd structure is better suited for raising investment, entering commercial contracts, hiring teams and expanding into new markets.

The major taxes that may be applicable to companies registered and operating in Australia are outlined below.

Income Tax

Australian companies are usually subject to 30% corporate tax, although eligible small and medium businesses could benefit from a lower tax rate of 25%.

Goods and Services Tax (GST)

Companies with annual turnover over $75,000 must register for GST, charge 10% on taxable sales and remit the collections to the federal government.

Payroll Tax

Companies exceeding the applicable payroll threshold must pay tax on employee wages, with rates and thresholds varying across Australian states and territories.

Fringe Benefits Tax (FBT)

Employers may have to pay Fringe Benefits Tax of 47% on some non-cash benefits employees receive, like company cars, low-interest loans and other workplace perks.

Capital Gains Tax (CGT)

If Australian companies sell assets at a profit they may be liable for Capital Gains Tax. The profit that is taxed is generally added to the company’s assessable income.

Pty Ltd Company vs Foreign Company Branch vs Sole Trader

The right structure depends on how you want to manage ownership, liability, Australian operations and ongoing compliance.
Aspect Pty Ltd Company Foreign Company Branch Sole Trader
Legal Identity Separate Australian legal entity Same legal entity as the overseas parent Owner and business are the same
Liability Generally limited to unpaid share amounts Overseas parent remains responsible Owner is personally liable
Australian Representation At least one director normally living in Australia Australian-resident local agent required Owner manages the business directly
Registration Number ACN; usually also an ABN ARBN after ASIC registration ABN
Compliance Burden Moderate company and ASIC obligations Higher ASIC and overseas reporting duties Lower, with personal tax reporting
Ideal For Startups, subsidiaries and growing businesses Established overseas companies entering Australia Individuals testing a small business idea
A Pty Ltd company is for entrepreneurs interested in establishing an Australian entity, but the branch office retains the international company as part of the legal structure of the business. For the sole trader, it is a much easier choice, although it does not insulate the individual from business risks.

Post-Registration Compliance for an Australian Company

After incorporation, directors must keep company, tax and ASIC obligations on schedule.

Open a Business Bank Account

Use a dedicated company account for business income, expenses and tax payments.

Complete Tax Registrations

Apply for an ABN and company TFN. When required, register for GST, which is at a turnover of AUD 75,000.

Maintain Company Records

Maintain up-to-date shareholder information, share registers, resolutions and other official documents.

Display Company Details

Show at public business locations the named company and also include the company name and ACN on required documents.

Report Changes to ASIC

Notify ASIC about changes to directors, addresses or shares. Many company-detail changes must be reported within 28 days.

Complete the Annual Review

Check the ASIC annual statement, update company details, pay the annual review fee and pass a solvency resolution.
These steps help keep the company registered and compliant.
