Private Limited Company Compliance Calendar: Key Due Dates for FY 2026–27
Unlike some other companies, a private limited company doesn’t have a compliance date that applies to everyone.
Use this calendar as a guide. Check each filing against your company’s registrations, transactions, size, and financial year.

During the fiscal year 2025–26, MCA did not impose any further charges for DPT-3 filing up to 31 July 2026.
A normal company having its financial year ending on 31 March holds an AGM within 30 September. The first AGM has different criteria.
Board meetings also have timing guidelines rather than being held on certain fixed dates in the calendar. Four board meetings are required to be held per year by a normal company, with a minimum gap of 120 days between each other.
Small companies that qualify also get relief in this regard.
Income Tax and TDS Compliance
Companies generally file ITR-6 by 31 October for the previous financial year. Transfer pricing cases can follow a later deadline.
Where tax audit applies, the audit report is generally due one month before the income-tax return deadline.
Advance tax instalments generally fall on 15 June, 15 September, 15 December, and 15 March.
TDS deducted during a month normally requires deposit in the following month. Quarterly TDS statements follow separate quarterly due dates.
FY 2026–27 also begins the transition to the Income-tax Act, 2025. Companies should verify the correct form before filing.
GST Compliance
These deadlines are applicable only in case the company is GST-registered.
GSTR-1 monthly submission deadline is the 11th of the next month. GSTR-3B monthly submission deadline is the 20th.
In case of QRMP, the GSTR-1 submission deadline is the 13th of each quarter, and the GSTR-3B submission deadline is either the 22nd or 24th.
Certain extensions can be provided to these deadlines based on government notifications for certain periods.
Payroll Compliance
EPF contribution payments need to be made up until the 15th of the following month.
ESI contributions also follow a monthly payment cycle. These obligations apply only when the company falls under employee coverage rules.
Treat every deadline according to its label: Fixed Date, Event-Based, or Applicable Only. This prevents missed obligations.
Before filing, reconcile company records with books, statutory registers, board documents, tax data, and portal information for the reporting period.
What Changed in the 2026–27 Compliance Calendar?
The FY 2026–27 calendar includes two important changes that private limited companies should not miss.
DIR-3 KYC Is No Longer an Annual September Filing
From 31 March 2026, MCA replaced annual DIR-3 KYC filing with a three-year compliance cycle.
DIN holders now file DIR-3 KYC-Web by 30 June of every third consecutive financial year.
Directors who completed KYC under the earlier system generally have their next filing due by 30 June 2028.
This change reduces routine filings.
A change in mobile number, email address, or residential address must still be reported within 30 days.
2026 Update: Do not rely on older calendars showing 30 September as the standard annual DIR-3 KYC deadline.
Income-tax Compliance Is in Transition
The Income-tax Act, 2025 came into force on 1 April 2026 and applies to tax year 2026–27.
However, returns for income earned during FY 2025–26 remain governed by the Income-tax Act, 1961.
Companies should check the applicable Act, form, and reporting period before filing any income-tax return.

The TDS quarterly statement has individual due dates for the relevant period.
Government notifications may also modify the same due dates. Check the relevant period before filing and making payments.

Late compliance may lead to extra costs and may raise tax/legislative compliance issues.
